Introduction

The Board of Directors of QuadX, Inc. (the "Company") has adopted this Code of Ethics (this "Code") for its directors, officers, employees of QuadX, or any of its affiliates or subsidiaries and others performing work for QuadX or on its behalf, as well as contingent workers (e.g. agency workers, contractors and consultants) and others working on QuadX’s behalf collectively referred to in this Code as “QuadX Personnel,”

As used herein, the principal executive officer, principal financial officer, principal accounting officer or controller, or persons performing similar functions are expected to act lawfully, honestly, ethically, and in the best interests of the company while performing duties on behalf of QuadX.

This Code has been reasonably designed to deter wrongdoing and to promote:

  • Honest and ethical conduct, including the ethical handling of actual or apparent conflicts of interest between personal and professional relationships;

  • Full, fair, accurate, timely, and understandable disclosure in reports and documents that a registrant files with, or submits to, the Securities and Exchange Commission and in other public communications made by the Company;

  • Compliance with applicable governmental laws, rules and regulations;

  • The prompt internal reporting to an appropriate person or persons identified in this Code of violations of this Code; and

  • Accountability for adherence to this Code.

The QuadX Code of Ethics is how we put our values into practice. It’s built around the recognition that everything we do in connection with our work at QuadX will be, and should be, measured against the highest possible standards of ethical business conduct. We set the bar that high for practical as well as aspirational reasons: Our commitment to the highest standards helps us hire great people, build great products, and attract loyal users. Respect for our users, for the opportunity, and for each other are foundational to our success, and are something we need to support every day.

So please do read the Code and what we value in QuadX, and follow both in spirit and letter, always bearing in mind that each of us has a personal responsibility to incorporate, and to encourage other Xers to incorporate, the principles of the Code and values into our work. And if you have a question or ever think that one of your fellow Xers or the company as a whole may be falling short of our commitment, don’t be silent. We want – and need – to hear from you.

If any part of this Code conflicts with local laws or regulations, only the sections of this Code permitted by applicable laws and regulations will apply. Any policies that are specifically applicable to your jurisdiction will take precedence to the extent they conflict with this Code.

This Code is subject to change and may be amended, supplemented or superseded by one or more separate policies
